Private Equity – Cross-border buyout transaction involving hybris AG, HuntsmanGay and iCongo

Represented hybris AG, a multi-channel commerce software company based in Munich, Germany, and its shareholders in connection with the sale of a majority equity stake in the company to HuntsmanGay Global Capital and the merger of hybris’ business with HuntsmanGay’s portfolio company iCongo Inc., a Canadian e-commerce software provider.

hybris AG is a multi-channel commerce software company headquartered in Munich, Germany. In August 2011, HuntsmanGay Global Capital LLC, the private equity firm co-founded by Jon Huntsman and Robert Gay, acquired a majority stake in hybris and combined hybris’ business with HuntsmanGay’s portfolio company iCongo Inc., a Canadian e-commerce software provider.

The combined business will operate under the hybris name and provide software to more than 350 global B2B and B2C customers including leading brands such as Levi’s, H&M, Adidas, Coca-Cola, Ericsson, Bobcat, Nikon, Lufthansa, Toys ‘R’ Us, Aldo, Clarks Shoes and Timberland. The hybris board will include HuntsmanGay founders Robert Gay and Richard Lawson and managing director Steve Young, the retired NFL quarterback.

Financial terms of this transaction were not disclosed. The M&A Advisor named this transaction winner of the Middle-Market Deal of the Year award (between $100 million to under $250 million) at the 2011 M&A Advisor Awards Gala.
