Filana R. Silberberg is counsel in the Capital Markets and Securities Group. Filana’s practice focuses on the representation of U.S. listed companies in a broad range of transactions, including public and private securities offerings, dual listings, direct listings, and mergers and acquisitions. She also advises public companies with respect to ’34 Act reporting requirements, corporate governance matters, stock exchange rules and ongoing securities law compliance matters.

Filana received a B.A. in economics from Boston University, cum laude, and a J.D. from Brooklyn Law School, where she served as notes and comments editor on the Brooklyn Journal of Corporate, Financial and Commercial Law.

  • Represented Euronav NV in connection with its $200 million initial public offering and its dual listing of common shares on the New York Stock Exchange and the Euronext Brussels.
  • Represented Hunter Maritime Acquisition Corp., a special purpose acquisition company (SPAC), in connection with its $150 million initial public offering.
  • Represented Scorpio Tankers Inc. in connection with various capital raising transactions resulting in gross proceeds in excess of $1 billion.
  • Represented Scorpio Bulkers Inc. in connection with its initial public offering and concurrent exchange offer and other capital raising transactions resulting in gross proceeds in excess of $500 million.
  • Represented Hunter Maritime Acquisition Corp., a special purpose acquisition company (SPAC), in connection with its merger with NCF Wealth Holdings Limited and concurrent issuer tender offer for up to $22.2 million.
  • Represented Scorpio Tankers Inc. in connection with its merger with Navig8 Product Tankers Inc and its concurrent $200 million public offering of common shares.
  • Represented FLEX LNG Ltd. in connection with its cross listing on the New York Stock Exchange.
  • Represented Hermitage Offshore Services Ltd. in connection with its $20 million Equity Line of Credit.
  • Represented Dynagas LNG Partners LP in connection with its initial public offering and other capital raising transactions resulting in gross proceeds in excess of $1 billion.
  • Represented North Atlantic Drilling Limited in connection with its $125 million initial public offering and concurrent exchange offer and its $600 million 6.25% Senior Notes due 2019.
  • Represented Aegean Marine Petroleum Network Inc. in connection with its $150 million 4.25% Convertible Senior Notes due 2021.
  • Represented Seadrill Limited in connection with its $1 billion 5.625% Senior Notes due 2017 and its $500 million 6.125% Senior Notes due 2020.
