Jacob Comer is a partner in the Investment Management Group. He provides strategic legal and business advice to domestic and foreign registered and unregistered private investment fund managers, with a principal focus on venture capital, growth equity, emerging, and niche strategy managers. Jacob advises clients on all stages of capital raising, strategic transactions, seed and anchor capital arrangements, co-investment matters, general partner and upper-tier structuring, carried interest and incentive mechanisms, business expansion, succession planning, regulatory compliance, and other core business and operational needs. He also advises on the formation and structuring of domestic and offshore investment vehicles, including bespoke funds, co-investment vehicles, separately managed accounts, continuation funds, and other vehicles.
Representative Experience
- Served on NovaQuest’s executive committee, overseeing day-to-day operations of the approximately $2 billion private investment firm focused on life sciences.
- Advised on NovaQuest’s global fundraising strategy and the launches of its $800 million flagship fund and new adjacent $200 million fund.
- Led the spin-out of NovaQuest’s private equity team into independent entity (QHP Capital).
- Oversaw all legal and regulatory matters and led strategic growth initiatives for $1 billion sector-agnostic venture capital firm.
- Designed and developed Altpoint Capital’s first-in-class, spot bitcoin-focused closed-end interval fund.
- Developed bespoke International Swaps and Derivatives Association (ISDA) Schedule and Credit Support Annex for over-the-counter digital assets options transactions and conducted first known bitcoin derivative trade pursuant to ISDA globally.
- Designed, structured, and launched private investment fund focused on agriculture technology and biosciences and negotiated complex co- anchoring arrangement with U.S. state development agency and Chinese provincial government.
