Represented hedge fund in connection with the purchase of Units consisting of Common Stock and Warrants in Hy-Drive Technologies Ltd. (HGS-V).

Hy-Drive Technologies Ltd. (HGS-V), is a Canada based technology firm that has developed a proprietary, patented hydrogen generating system. Hy-Drive’s Hydrogen Generating System (“HGS(TM)”) generates and injects hydrogen gas into a regular internal combustion engine, enhancing the combustion process by allowing fuel to burn more efficiently and completely. Hy-Drive completed a PIPE totaling approximately Cdn$4 million of Units consisting of common stock and warrants. A Seward & Kissel team led by partner Craig Sklar and associate Joe Morrissey represented the hedge fund in connection with the PIPE.
