Represented a private investment fund shareholder of asset manager W.P. Stewart & Co., Ltd. (BSX:WPS) in connection with the corporate reorganization of W.P. Stewart.

W.P. Stewart & Co., Ltd. (OTC: WPSLF.PK and BSX:WPS) is an asset management company headquartered in Hamilton, Bermuda with additional operations or affiliates in the United States and Europe. On April 6, 2010, W.P. Stewart announced plans to reorganize the company as a Delaware corporation through an Exchange Agreement and Scheme of Arrangement. In connection with the reorganization, W.P. Stewart’s headquarters and all other operations presently conducted in Bermuda are to be relocated to New York. A Seward & Kissel team led by partners Steven Nadel, James Abbott, Paul Miller and James Cofer and associate Nick Katsanos are representing a private investment fund that is a substantial shareholder of W.P. Stewart in connection with this transaction.
