M&A – Spin out of institutional broker Concept Capital from Sanders Morris Harris Group

Represented the management team of Concept Capital, an institutional broker and total solutions provider for global investment managers, in connection with its spin out from Sanders Morris Harris Group Inc. (NASDAQ:SMH).

Concept Capital is a New York-based institutional broker and total solutions provider for global investment managers. Effective January 1, 2011, the Concept Capital business was spun out from Sanders Morris Harris Group Inc. (NASDAQ:SMH), a wealth and asset management company that manages approximately $12.1 billion in client assets, to an independent broker-dealer of which SMH will be a minority equity holder. A Seward & Kissel team led by partners Jack Rigney, James Abbott and Peter Pront and including associates Nick Katsanos and Jonathan Bobinger represented the management team in connection with this transaction.
