We advise both dealers and counterparties of derivatives in structuring, negotiating and documenting an array of over-the-counter derivative instruments, including hybrid products. Our attorneys draft and review complex derivatives such as credit default swaps and total return swaps that provide credit enhancement or other support for structured finance programs, or that constitute an alternative to direct investments in the securities referenced in such derivatives. Additionally, the Firm regularly advises industry participants concerning regulatory compliance programs, exchange-traded futures and options, and repurchase and securities lending programs, as well as litigates matters regarding derivatives. We are familiar with documentation in the form of market-standard master agreements, as well as the proprietary documentation utilized by many banks and dealers for opening prime brokerage and other accounts and for trading. Our tax attorneys are experienced in the taxation issues arising in connection with derivatives.
