Michael O’Brien has been practicing in the ERISA/employee benefits area for over eleven years. His practice focuses on ERISA and employee benefits and executive compensation matters, including the treatment of employee benefits in mergers and acquisitions, structuring and compliance matters with respect to ERISA’s “plan asset” rules – specifically in connection with VCOCs and REOCs, Title I fiduciary compliance matters, negotiating ISDA and prime brokerage agreements, and advising clients with respect to compensation and equity arrangements and issues arising under the deferred compensation rules of Code Sections 409A and 457A.
Mr. O’Brien’s clients include Fortune 500 companies and private equity investors on both the buyer and seller sides of deals, as well as investment fund managers, financial institutions and individual fiduciaries.
Mr. O’Brien is admitted to practice before the courts in New York.
Mr. O’Brien received a J.D. degree from Harvard Law School, cum laude, and a B.S.B.A. from Georgetown University, summa cum laude.
