Kris Swiatek is a partner in the Investment Management and Digital Assets Groups. Kris regularly advises U.S. and non-U.S. asset and wealth managers regarding their product offerings, as well as related regulatory compliance and general corporate matters. In particular, Kris assists sponsors of hedge, private equity, private credit, real estate and venture capital funds regarding formation, structuring and capital raising matters. He has extensive experience structuring U.S. and non-U.S. investment vehicles, such as special purpose vehicles, co-investment vehicles and funds-of-one, as well as the negotiation of separately managed accounts. Additionally, Kris frequently advises clients regarding the development of compliance policies and procedures, regulatory filings and other day-to-day legal and operational issues, as well as general corporate matters including the formation and organization of various business entities and negotiation of a variety of transactional, commercial and similar arrangements. He also represents clients in joint ventures, spinouts and other business transactions in the asset management industry.
As a member of the Digital Assets Group, Kris also regularly advises digital asset-native managers as well as traditional managers with exposure to digital assets on the foregoing matters. In particular, Kris assists digital asset managers with various investment strategies ranging from open-end liquid strategies focused on quant, arbitrage, decentralized finance and other manual or automated trading to closed-end strategies focused on early to mid-stage investments in digital asset companies, products, protocols and/or platforms, as well as investments in revenue-generating activities such as liquidity pool provision, proof-of-stake and various lending and/or derivative transactions involving digital assets. In addition, Kris has extensive experience assisting digital asset managers with fund structuring, token classification under applicable federal laws, as well as the negotiation of various corporate and counterparty agreements related to digital asset service providers and counterparties and related regulatory and operational matters.
Kris received a B.A. from Rutgers University, magna cum laude, and a J.D. from Fordham University School of Law, magna cum laude, where he was a member of the Order of the Coif.
