Biography
Jay Baroody joined the firm in 2012 and is a partner in the Investment Management Group.
He advises a diverse range of global clientele, including private fund sponsors, asset managers, institutional LPs and seed investors.
In particular, Jay advises emerging, mid-market and large, established managers on the formation, structuring and operation of open-end private funds, including negotiating and drafting operating agreements, preparing fund offering documentation and providing guidance as to the terms thereof, reviewing marketing materials, and negotiating side letters, service provider agreements and solicitation agreements. As Jay’s practice is global, he also routinely collaborates with international law firms to assist his clients with non-U.S. legal and regulatory matters.
In addition, Jay assists both asset managers and investors with the negotiation of separately managed account and sub-advisory agreements. He also counsels global institutional LPs, including family offices, fund-of-funds, pensions, sovereign wealth funds and high net worth individuals, with reviewing and negotiating the terms of side letters and fund seed investments, including the receipt of revenue participations.
Jay also has extensive expertise and experience with regulatory and compliance matters, including the adoption and implementation of compliance policies and procedures, as well as with Advisers Act, Commodity Exchange Act, Securities Act, Securities Exchange Act, Treasury International Capital and Bureau of Economic Analysis filings.
Jay has a strong reputation for providing clients with pragmatic advice on complex legal and commercial issues, as well as for being highly responsive to his clients and staffing projects efficiently.
He received a B.A. from the University of Texas at Austin, with high honors, Phi Beta Kappa, and attained his J.D. from Fordham University School of Law, cum laude.
