Seward & Kissel’s Venture Capital and Growth Equity Funds Practice advises clients at every stage of a venture capital fund’s lifecycle.
Our lawyers have extensive experience structuring and raising growth equity and venture capital funds, from emerging managers raising seed and early-stage funds to established sponsors managing multibillion-dollar platforms.
We represent growth equity, venture capital, and hybrid funds and the investors who allocate capital to those funds. This broad perspective allows us to provide practical and informed guidance on a wide range of fund-related matters. Our experience includes advising on capital raising and marketing, co-investments, compensation and complex incentive structuring, compliance and regulatory matters, ERISA, innovative fund formation with best-in-class documentation, investor negotiations, management company and general partner structuring, subscription and other fund financing, sophisticated tax structuring, secondaries, and continuation vehicles and other GP-led liquidity events.
Our Growth Equity and Venture Capital Funds Practice works closely with the firm’s transaction attorneys to support clients on growth equity and venture capital transactions. Our lawyers regularly represent fund sponsors, investors, and portfolio companies in both buy-side and sell-side transactions, including venture capital financing rounds and exits. Our experience includes angel and seed investments, convertible debt financings, early-stage, late-stage, and pre-IPO venture capital rounds, as well as liquidity events.
Leveraging this collaboration and depth of experience, we also represent corporate venture capital (CVC) clients in portfolio company investments and exits, joint ventures, venture capital fund investments, and internal governance issues.
