Randall Adams is a partner in the Litigation & Investigations Group. He represents activist investors, fund managers, general partners and institutional clients in high-stakes commercial litigation, with a focus on shareholder activism, proxy contest litigation, fund management and digital asset-related disputes, including blockchain fund structures.

Randall maintains a leading practice in shareholder activism and contested election litigation. He has represented activist investors in disputes involving Sections 13 and 14 of the Securities Exchange Act in some of the most significant proxy contests of the last decade.

Randall regularly represents fund sponsors, general partners, and limited partners in complex fund-related disputes. He advises on matters involving ownership of management companies, general partner removals, breach of fiduciary duty claims, unjust enrichment, and diversion of business opportunities.

He has received several “Rising Star” recognitions by New York Super Lawyers and the New York Legal Awards, as well as a “Best LGBT Lawyers Under 40” recognition by The LGBT Bar. Additionally, he is a recipient of the “Howard Godnick Public Service Award.”


Representative Experience
  • Represented a significant shareholder in Boar’s Head Provisions Co., Inc. in a multi-front litigation concerning buy-out rights under the company’s shareholder’s agreement.
  • Secured a precedent-setting arbitration victory in the crypto-asset space on behalf an investor in the management company of a multi-billion-dollar crypto fund platform.
  • Represented Politan Capital Management in expedited proxy contest litigation against Masimo Corporation involving Section 13 and Section 14 claims. 
  • Represented Trian Partners in its landmark proxy contest at Procter & Gamble, including claims over vote tabulation.
