Biography
Randall Adams serves as Head of Shareholder Activism Disputes and Co-Head of Investment Fund Litigation and is a partner in the Firm’s Litigation & Investigations Group.
Randall maintains a leading shareholder activism practice representing investors in every stage of shareholder engagement with corporate boards. He helps investors craft collaborative, constructivist, and activist strategies for approaching board engagement and corporate governance. He advises clients through the board nomination process, proxy contests, shareholder votes, M&A activism, and in related litigation. Randall has represented activist investors in disputes involving Sections 13 and 14 of the Securities Exchange Act in some of the most significant proxy contests of the last decade.
As Co-Head of Investment Fund Litigation, Randall regularly represents registered investment advisers, funds, general partners, and limited partners in complex fund-related disputes. He advises on matters involving ownership of management companies, general partner removals, breach of fiduciary duty claims, and defends fund clients in claims arising under Section 16(b).
