Biography
Danielle Lemberg is a partner in the Mergers & Acquisitions practice of Seward & Kissel LLP.
Danielle represents private companies, investment management firms, business owners, family offices, institutional investors, and asset and wealth managers in connection with a variety of business transactions, equity financings, and general corporate matters. Representative transactions include mergers and acquisitions, private equity and venture capital transactions, minority investments, GP staking transactions, and seed capital arrangements, and joint ventures and other strategic alliances, with a particular focus on the investment management, wealth management, and financial services industries.
Danielle regularly advises on complex strategic transactions, including the sale of registered investment advisers to national wealth management platforms, majority and minority investments, including by private equity and permanent-capital sponsors, and other transactions intended to support a manager’s long-term growth, succession planning, and enhanced client service capabilities. Danielle also serves as outside corporate counsel to various business entities, advising on entity formation, governance, and commercial arrangements, and supporting clients through financings, restructurings, and day-to- day strategic matters.
Danielle has been recognized by The Legal 500 United States as a “Next Generation Partner” for her transactional practice, with client commentary noting that she is “extremely effective.” She is also an active speaker on investment management and private markets topics, including panels addressing trends in venture capital, private markets, and wealth management M&A.
Danielle is the founder and head of the Seward & Kissel Women’s Initiative.
