Overview
Seward & Kissel’s Mergers & Acquisitions practice represents domestic and international companies, private fund sponsors, investment management firms, financial institutions, and business owners in mergers and acquisitions, joint ventures, private equity and venture capital transactions.
The practice also advises special purpose acquisition companies and private operating companies on mergers and other business combinations, including transactions related to the de‑SPAC process. The practice is widely recognized for its transactional work in the investment management and maritime industries, with an active and growing middle‑market M&A practice across a broad range of sectors.
Clients rely on the M&A practice for practical, business‑minded advice on complex transactions. The practice regularly handles negotiated middle‑market M&A, private equity investments, minority and strategic investments, joint ventures, and cross‑border transactions. Its work in the investment management sector includes adviser and broker‑dealer M&A, seed investments, lift‑outs, and strategic capital transactions. In the maritime sector, the team advises on domestic and cross‑border acquisitions, mergers, and restructurings involving public and private shipping companies.
The practice works in close coordination with Seward & Kissel’s other practice areas to address the full legal context of each transaction, including tax, securities, executive compensation and employee benefits, employment, antitrust, intellectual property, real estate, litigation, and regulatory matters. - Represented Penfield Marine, a commercial ship management company operating tankers globally, in connection with its sale to Maersk Tankers, creating a large-scale crude and product tanker company managing 240 vessels, including approximately 45 vessels owned by affiliated companies.
