Biography

Lindsay Ditlow is a partner in and the Co-Head of Seward & Kissel’s Employment practice.

Lindsay acts as a trusted advisor on complex employment matters to US and multinational companies, with a particular focus on the hedge fund, private equity, financial services and healthcare sectors.

Lindsay’s focus is on the full lifecycle of employment, including the negotiation and drafting of complex employment agreements, incentive compensation plans, employer policies, and separation agreements. She further has extensive experience in restrictive covenant matters.

In addition to day-to-day counseling, Lindsay is regularly engaged to conduct sensitive internal investigations, audits, compliance reviews and manage large-scale employee restructurings. Lindsay also serves as a transactional advisor on the employment aspects of M&A, including overseeing due diligence and counseling on risk mitigation and post-closing integration.

Lindsay is also a seasoned litigator, regularly representing employers in arbitration and federal and state court matters regarding discrimination, breach of contract, breach of fiduciary duty, restrictive covenant enforcement, wage and hour class actions and WARN Act compliance. She also represents employers in administrative proceedings before the Equal Employment Opportunity Commission and their state and local counterparts.

Representative Work

  • Successfully represented a technology holding company in New York State Court asserting various claims against a minority shareholder and former executive.
  • Represented a publicly traded medical technology company against claims of discrimination and retaliation in California federal district court. Claims were successfully dismissed with prejudice.
  • Achieved repeated successes in state and federal courts for a global accounting firm against claims of discrimination and retaliation brought by former employees against the company and managing partners. Each case was dismissed or otherwise withdrawn with prejudice.Served as Title IX Coordinator for a nationally recognized university in a matter concerning highly publicized allegations among students.
  • Obtained a successful defense verdict after a seven-week trial in a breach of contract/non-solicitation case on behalf of an advertising company.
  • Represented a nationwide staffing company against claims of discrimination and retaliation in the Southern District of New York. Claims were successfully dismissed with prejudice.
