Biography

Michael Indelicato is an associate in Seward & Kissel’s Capital Markets and Corporate Securities practice, focusing on U.S. securities law, capital markets transactions and corporate matters.

He represents US and foreign issuers and underwriters in capital raising transactions, including initial public offerings, follow-on offerings and secondary offerings, as well as offerings by seasoned public companies.

Michael’s experience includes the issuance of common and preferred equity in both registered offerings and a variety of unregistered transactions, including Rule 144A offerings, private placements, PIPE transactions, Regulation S offerings and other exempt offerings in the US and international markets. He also regularly advises on mergers and acquisitions, SPAC IPOs and de SPAC business combinations.

In addition, Michael counsels public companies on ongoing Exchange Act compliance, including Section 16 and Section 13 filings, disclosure obligations and corporate governance matters. He has particular experience advising clients in the maritime and transportation sectors and works closely with issuers and underwriters navigating the US public markets.
