Fund Finance
Overview
Seward & Kissel’s Fund Finance practice advises fund sponsors, asset managers, insurance companies, and financial institutions on financing solutions for investment funds and related platforms.
We represent clients across domestic and cross-border transactions involving private and registered funds, including private equity, private credit, venture capital, real estate, infrastructure, special situations, secondaries, and other alternative investment strategies.
Seward & Kissel’s Fund Finance practice is deeply integrated with the firm’s premier Investment Management group. We bring a comprehensive understanding of fund structures, as well as tax, ERISA and other regulatory considerations that affect fund financings. Working with lawyers who advise sponsors on formation, regulatory, tax, ERISA, governance, and operational matters, we provide coordinated, commercially focused advice across the lifecycle of a fund, from formation-stage subscription facilities to NAV financings, hybrid structures, and other liquidity solutions.
Our lawyers advise on a range of fund finance products, including:
- Subscription (Capital Call) Facilities
- NAV-based Facilities
- Hybrid Facilities
- GP Financings
- Management Company Financings
- Employee Co-Invest Loan Programs
- Liquidity Financings for Registered Funds
- Back-Leverage Facilities, including warehouse financings, note-on-note structures, fund-of-funds financings, fund-level and SPV-level ABLs, forward-flow arrangements and other structured financings

Clients value Seward & Kissel’s ability to combine sophisticated financing expertise with a clear understanding of sponsor priorities, fund structures and investor considerations. Our integrated approach enables us to deliver practical, efficient and strategically informed advice on increasingly complex financing products and transactions.
