Seward & Kissel’s Private Credit practice advises clients across the expanding private credit market.
We provide legal counsel on a range of strategies, including direct lending, distressed investments, special situations, rescue financing, specialty financing, fund financing, asset-based finance, structured finance, collateralized loan obligations, and venture debt.
Our clients include private credit funds, institutional and high net worth investors, family offices, portfolio companies, borrowers, and other market participants engaged in a broad range of transactions. These include senior secured and unsecured facilities, mezzanine and subordinated financings, unitranche loans, co-investments, asset-based loans, convertible debt financings, preferred equity, and other financing structures.
Our lawyers draw on experience across the firm’s investment funds, corporate finance, regulatory, mergers and acquisitions, restructuring and bankruptcy, real estate, and tax practices to structure and negotiate private credit transactions.
We take an integrated approach, providing practical guidance on market terms, financing structures, and regulatory considerations. The practice has handled billions of dollars in credit transactions on behalf of investors, borrowers, sponsors, and arrangers across industries, including financial services, e-commerce, technology, healthcare, real estate, consumer products, manufacturing, infrastructure, energy, and transportation.
