Overview
Seward & Kissel has a long and established history advising hedge fund managers and investors, including forming A.W. Jones & Company in 1949, widely regarded as the first hedge fund.
Today, our Hedge Fund practice represents many of the largest managers in the industry, as well as start-up and emerging managers.
Our lawyers advise hedge funds across a broad range of investment strategies, including long short equity, credit and distressed, quantitative and macro strategies, activist strategies, fund of funds, industry-specific strategies, commodities, event-driven, multi-strategy platforms, and structured products. Our services include fund structuring and entity formation as well as ongoing advice relating to management companies and general partners. We regularly advise clients on regulatory and compliance matters, marketing materials, mock examinations, investor and side letter negotiations, seed capital transactions, succession planning, and tax and ERISA matters. We also advise on counterparty and trading-related agreements, enforcement actions, litigation, executive compensation, estate planning, operating and advisory agreements, and registration requirements.
