Seward & Kissel’s Business Transactions Group has significant and extensive experience structuring and negotiating GP- and investor-led secondary transactions and fund restructurings. We have represented clients in a variety of secondary transactions, including the acquisitions and dispositions of equity and debt securities in underlying portfolio companies, end-of-life transactions, tender offers, direct secondaries, and deferred purchase and seller finance arrangements.  Our attorneys understand the importance of the secondary market as both a vehicle for an investor’s exit from a security but also as a primary source of new investments for some clients.  We work with attorneys in the Firm’s other practice groups to address any tax, ERISA, or securities law issues that may arise throughout a transaction.

Given the breadth of our investment management practice, we are able to leverage our experience on primary transactions with the broad and in-depth knowledge of our investment management colleagues, to advise clients on market terms and to help them negotiate and close secondary transactions in a prompt, practical and cost-efficient manner.
